By accessing or using the Dropprompt website, mobile applications, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. User Accounts

Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

Eligibility

You must be at least 16 years old to use our Service. By using Dropprompt, you represent and warrant that you meet this age requirement.

3. Marketplace Rules

For Buyers

When purchasing prompts through our marketplace:

• You receive a non-exclusive, worldwide, perpetual license to use the purchased prompts
• You may not redistribute, resell, or share purchased prompts without permission
• All sales are final unless the prompt is significantly different from its description
• You are responsible for complying with the terms of the AI platforms you use with our prompts

For Creators

When selling prompts through our marketplace:

• You retain ownership of your original prompt content
• You grant buyers a license to use your prompts as described above
• You grant Dropprompt a license to display, distribute, and promote your prompts
• You are responsible for ensuring you have all necessary rights to sell your prompts
• You must accurately describe your prompts and their capabilities

4. Intellectual Property

Our Intellectual Property

The Service and its original content, features, and functionality are owned by Dropprompt and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all intellectual property rights to the prompts you create and submit to our marketplace. However, by submitting content to Dropprompt, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting our Service.

AI-Generated Content

You acknowledge that outputs generated by AI systems using prompts purchased from our marketplace may be subject to the terms and policies of the respective AI platforms. Dropprompt is not responsible for any claims related to AI-generated content.

5. Payments & Fees

Pricing

Creators set their own prices for prompts. Dropprompt charges a commission on each sale, which is deducted from the sale price before payment is made to the creator.

Payment Processing

All payments are processed through secure third-party payment processors. By making a purchase, you agree to the terms and privacy policies of these payment processors.

Refunds

Refunds are generally not provided for digital prompt purchases. However, we may issue refunds in exceptional circumstances at our sole discretion.

Taxes

You are responsible for any taxes, duties, or other governmental fees associated with your use of the Service, including any purchases or sales made through our marketplace.

6. Prohibited Content

You may not create, upload, or distribute prompts that:

• Violate any laws or regulations
• Infringe upon intellectual property rights
• Contain hate speech, harassment, or threats
• Promote violence, self-harm, or illegal activities
• Are sexually explicit or pornographic
• Contain malicious code or security vulnerabilities
• Impersonate others or contain false information
• Are designed to generate spam or misleading content

Dropprompt reserves the right to remove any content that violates these terms without notice.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

8. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DROPPROMPT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for the quality, accuracy, or legality of prompts sold through our marketplace or the outputs generated by AI systems using those prompts.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DROPPROMPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in San Francisco County, California.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
